Senior Legal Counsel (M&A, Sales & Business Development)

Where you will work

You will be part of the legal team in Rotterdam, responsible for legal matters across the international Chane group. You will work closely with Sales, Corporate Finance, M&A and senior management, and be involved in key projects across our terminal network.

The environment is international, technical and capital-intensive. Legal input is directly linked to commercial outcomes and risk, and plays a role in how the organization continues to evolve.
 

Representative activities

You will act as a senior legal business partner and take ownership of legal aspects of commercial and transaction-related matters.

Your work will include:

• advising on M&A and transaction-related matters, including due diligence and documentation 
• supporting business development initiatives and commercial opportunities 
• drafting, reviewing and negotiating complex commercial agreements, including storage and processing agreements, cooperation agreements and JV structures 
• supporting senior stakeholders in commercial negotiations 
• structuring transactions with a clear focus on risk, value and execution 
• managing external counsel where appropriate 
• contributing to the further development of legal frameworks and contract standards 

In addition, you will be involved in legal aspects of the ongoing development and structuring of the organization, working closely with internal stakeholders as roles, processes and frameworks continue to evolve.
Some work will be high-profile and complex. Some will be more straightforward. Both matter.

Your profile

We are looking for someone with experience, judgement and a clear way of working.

You bring:

• a Master’s degree in Dutch law 
• solid experience as a Legal Counsel or lawyer in a corporate, M&A or commercial environment 
• a strong track record in transactions, negotiations and business-facing legal work 
• affinity with international, capital-intensive industries, such as energy, infrastructure or logistics 
• the ability to operate independently and deal comfortably with senior stakeholders 
• a pragmatic, commercially minded and solution-oriented approach 
• strong Dutch and English language skills
